Terms of Service
These terms govern the use of services provided by Rekha Labs, a sole proprietorship registered in Noida, Uttar Pradesh, India (Udyam registration UDYAM-UP-28-0240460), trading as LeftOnHold Labs ("we", "us"). By engaging us or using an agent we operate, you agree to them.
1. What we provide
We design, build and operate AI voice agents that answer telephone calls for your business, and related services such as call transcription, reporting and integration with your calendar, CRM or messaging tools. The exact scope, price and timeline for your deployment are set out in a written proposal or order that we both agree to.
2. Your responsibilities
- You confirm you have the right to route your business calls to us and to record them, and that you will inform your callers of recording where the law requires it.
- You provide accurate business information, prices, availability and knowledge for the agent to use, and you keep it current.
- You will not use the agent for unsolicited outbound marketing, for impersonation, or for any purpose prohibited under Indian law, including TRAI regulations on commercial communication.
3. Fees and payment
Fees are stated in your proposal in Indian Rupees and are exclusive of applicable taxes. Setup fees are invoiced on signing. Usage fees are invoiced monthly in arrears. Payments are collected through Razorpay or by bank transfer. Invoices are due within 7 days.
4. Service levels
We aim for the agent to answer every call on the first ring and to be available at all times, subject to the availability of your telephony provider and ours. Planned maintenance is announced in advance. We are not liable for outages caused by carriers, your systems, or events outside our control.
5. Data and confidentiality
Recordings, transcripts and caller data belong to you. We process them only to deliver the service and as described in our Privacy Policy. Each party keeps the other's confidential information confidential.
6. Intellectual property
You own your content and data. We own the agent platform, models, prompts and tooling we use to deliver the service, and we grant you a licence to use the agent for your business for the term of the engagement.
7. Termination
Either party may end the engagement with 30 days' written notice. We may suspend the service immediately if fees are overdue by more than 15 days or if the agent is used in breach of these terms. On termination we return or delete your data within 30 days.
8. Limitation of liability
To the extent permitted by law, our total liability under these terms is limited to the fees you paid us in the three months before the claim. We are not liable for indirect or consequential losses.
9. Governing law
These terms are governed by the laws of India. Courts at Gautam Buddha Nagar, Uttar Pradesh have exclusive jurisdiction.
